Reinders Rewards – Terms & Conditions

  1. The Reinders Rewards Program (the "Program") is a customer loyalty program available to online and in-store customers of Reinders, Inc ("Reinders"). Information collected by Reinders in connection with Program enrollment is subject to the Reinders Privacy Policy, which is available for review at https://www.reinders.com/customer-support/privacy-policy/. Program Members are encouraged to review the Reinders Privacy Policy prior to enrolling in the Program.
  2. Participation in the Program is subject to these Program Terms and Conditions (the "Terms and Conditions"), which may be amended without prior notice by Reinders from time to time. Current Terms and Conditions are posted at Reinders.com. Failure to abide by the Terms and Conditions, abuse of Program privileges, conduct detrimental to the interests of Reinders, or any misrepresentation made to Reinders in connection with the Program may result in the termination of Program participation and forfeiture of accumulated points, each in Reinders' sole discretion.
  3. For the purposes of these Terms and Conditions, the term "Program Member" shall mean and include a corporation, partnership, limited liability company or sole proprietorship that is eligible for and enrolled in the Program. Only one (1) Program Member may be maintained per company. In the case of a sole proprietorship, the sole proprietor must be at least 21 years of age to become a Program Member. Certain customers may be ineligible to participate in the Program, as determined by Reinders in its sole discretion, including but not limited to product resellers, retail customers, large package customers, and national accounts customers.
  4. Participation in the program is exclusive to Reinders customers with an active business account. Individuals or organizations without a Reinders business account are not eligible to enroll or earn rewards in the program.
  5. The following accounts may not be eligible for certain benefits of the Program:
    1. Wholesalers and distributors are not eligible to participate in the Program. Points cannot be earned or redeemed by accounts classified as wholesalers or distributors, as determined by Reinders in its sole discretion.
    2. Government accounts may be eligible to participate in the Program on a limited basis (where permitted by law) provided that their participation complies with all applicable laws, regulations, and policies of their employer, including any rules governing the acceptance of incentives, rewards, or other benefits. If a government account does not elect to use accumulated points during a calendar year, such points may be deducted from the account and an account credit will be provided.
  6. Purchases made on Toro Commercial Equipment, Performance Parts, Service, and Agency products are not eligible to earn reward points.
    1. Reinders reserves the right to determine product eligibility for rewards, ensuring that our program remains fair and beneficial to all participants.
  7. Points will not be awarded for large package quotes. These transactions are excluded from earning points under the Program, as determined by Reinders in its sole discretion.
  8. Points will not be awarded for orders originating out of the following warehouses: Mundelein, Elm Grove, Auburn Hills, Sparta, or Indianapolis.
  9. If a Program member elects to unenroll in the Program or cancel its Program account, points will no longer be earned under the Program and any unused points will be forfeited and unusable. Additionally, upon unenrollment or cancellation by a Program Member, such member will not be eligible for re-enrollment in the Program within the same calendar year. Re-enrollment will not result in the recoupment of previously-forfeited points.
  10. Only one Program account shall be maintained per Program Member and points are not transferable between Program Members. Each Program Member must designate one Points Manager ("Points Manager") for purposes of the Program. Each Program Member shall be responsible for advising Reinders of any changes to the Points Manager or address relating to its Program account.
  11. Reinders has sole authority in determining any company's eligibility to participate in the Program or whether the redemption of available points for any Program award is in accordance with these Terms and Conditions.
  12. Program Member's accounts payable to Reinders must be in good standing to take advantage of any of the benefits and features of the Program, including point redemption. If a Program Member’s account is past due over ninety (90) days, Reinders, at its sole discretion, has the option of drawing upon the Program Member’s accrued points and converting them to credit to be applied against the Program Member's outstanding balance of service charges first and/or balance due. Points redeemed for this balance payment will only be those available points earned through paid invoices.
  13. Reinders, at its sole discretion, may also terminate a Program Member’s participation in the Program, and the availability of that Program Member’s points and benefits, if there is a past due balance of such Program Member's account over ninety (90) days.
  14. The Program will run annually from January 1 to December 31. Program Members will have until December 31 of the following calendar year to redeem points earned in the prior year. In the event that Reinders elects to terminate the Program, Program Members will have ninety (90) days after the termination date to redeem points if they comply with these Terms and Conditions.
  15. Customers are auto-enrolled into the Program if they have placed an order on or after January 1, 2022, or if they are a newly setup customer on or after January 1, 2025. All other eligible customers must fill out the Points Manager sign-up form to officially enroll in the Program.

Earning Points

  1. Program Members earn points by purchasing eligible products from a Reinders branch location or Reinders.com. Eligible products may be determined by Reinders in its sole discretion and a change in product eligibility can happen at any time, with or without notice.
  2. Points will be posted to a Program Member's points account upon payment of eligible invoices. Program Members can earn One (1) point for every Four Dollars ($4.00) of eligible purchases in-store and One (1) point for every One Dollar ($1.00) of eligible purchases on Reinders.com. No fractional points will be awarded. No points will be awarded for taxes, delivery or other fees associated with the purchase of eligible products.
  3. Points will be calculated based on the subtotal of eligible purchases or returns, excluding shipping charges, taxes, and any applied discounts. Points will not be awarded for amounts associated with these charges.
  4. Points earned by a Program Member on purchase of products later returned will be deducted from the Program Member's account.
  5. The points balance structure works as follows:
    1. "Available Points" - points earned on fully paid invoices from eligible purchases or activities in the current calendar year.
    2. "Expiring Points" - points earned on fully paid invoices from the previous calendar year. Expiring points that are not used by December 31 of the respective calendar year will be forfeited.

Award Redemption

  1. To claim any award or redeem any points earned under the Program, the Program Member must assign a Points Manager and reach minimum of Five Thousand Dollars ($5,000) of eligible paid invoices during the calendar year. If the purchase level minimum is not met by the close of business at the end of the calendar year, all points will be forfeited. If the purchase level minimum is met, points earned during the Program year may be redeemed at any time until December 31 of the following year or, in the event of earlier termination of the Partners Program, points may be redeemed until ninety (90) days after the date of termination of the Program.
  2. Program Members must meet the specific available points requirement for the applicable award. Points cannot be purchased with cash payments apart from product purchases.
  3. To claim an award or redeem points, a Program Member's Reinders account must be in good standing and current. Program member's accounts payable to Reinders must be paid in full to claim an award, redeem points, or otherwise gain any of benefits of the Program.
  4. An account's Points Manager may redeem available points for an award at any time during the Program year through December 31 of the following year or, in the event of earlier termination of the Program, the date that is ninety (90) days after the date of termination of the Program. Points can only be redeemed if an account is enrolled in the Program for the current year.
  5. Each account's Points Manager is the only authorized and eligible person to claim an award or redeem points on behalf of such account. In the event that an unauthorized person or party claims or redeems points (or attempts to do any of the following) resulting in any loss to Reinders or a Program Member, the Program Member shall release Reinders, Inc. and its affiliates of any and all liability associated with such unauthorized access.
  6. Any and all fees and taxes payable as a result of a member's participation in the Program are the sole responsibility of the participating Program Member.

Other Conditions

  1. Reinders is not liable for delays or failures in redemption of available points as a result of correspondence or requests that are delayed, lost, or stolen in the mail (parcel or electronic). Reinders reserves the right to cancel or modify the Program without notice at any time and for any or no reason.
  2. Program Members may not transfer, combine or barter points. Points have no cash value and are non-transferable. Additional points cannot be purchased for cash.
  3. Decisions regarding Program eligibility, available points redemptions and compliance with these Terms and Conditions shall be made by Reinders in its sole discretion. All such decisions shall be conclusive, final and binding, and shall resolve any interpretations, disputes or questions regarding the Program.
  4. Reinders has the right to terminate the Program or to change the Program in any manner, in whole or in part, including, without limitation, changing the Terms and Conditions, benefits, conditions of participation, number of points required to obtain any award and award levels, at any time, without notice, even though changes may affect the value of points already accumulated. If the Program is terminated, Program Members will have ninety (90) days from the termination date to redeem all points earned, after which all points will be forfeited.
  5. Reinders is not liable for errors or omissions by its employees or agents in the printing of the Program brochure or related promotional materials.
  6. Reinders is not liable whatsoever for any loss, damage, tax liability, expense, non-performance, mis-performance, accident or injury of any nature whatsoever incurred in the course of an award recipient's use of any award received through the Program. Reinders, at its discretion, may request that the award recipient sign an additional release of liability form prior to delivery of an award.
  7. Reinders may not be affiliated with the supplier or provider of any of the award offered under this Program. Reinders neither endorses nor guarantees any product or service offered by an awards supplier. Administration of the Program, including selection of and processing of Program awards, is managed by Velocita, Inc ("Zinrelo"). Use of the Program portal is subject to the Terms and Conditions of Zinrelo.
  8. By enrolling in the Program, Program Members agree to allow their names and likenesses, and those of their employees, to be used in public relations and promotional materials related to Reinders, except where prohibited by law.
  9. Reinders employees and their family members are not eligible to participate in the Program. This exclusion applies to all Reinders employees, regardless of their role or location within the company, as well as their immediate family members.
  10. IN NO EVENT SHALL REINDERS, ITS AFFILIATES, OR ANY OF THEIR OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE TO PROGRAM MEMBERS (INCLUDING THEIR OFFICERS, DIRECTORS, AND EMPLOYEES) FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, ARISING OUT OF THE PROGRAM OR THE MEMBERS' PARTICIPATION IN THE PROGRAM.
  11. It is the sole responsibility of all Program Members to comply with their organizations policies and guidelines regarding rebates and rewards.
